1. Subscription and Fees

1.1 Subscription Purchase: If you have acquired a subscription for any software products (the "Software") offered by Bagley Tools Inc. Company ("Traderstools," "we," "our," or "us"), you are entering into an agreement based on the terms and conditions outlined herein.

1.2 Payment of Fees: You are obligated to pay all Fees as specified in your online purchase or any relevant ordering document ("Ordering Document"). To obtain the most up-to-date information regarding Software pricing and payment options, please refer to our pricing and payment terms (https://www.traderstools.com/pricing/), which are incorporated into this Agreement. Traderstools reserves the right to introduce new Software, services, features, and functionalities for additional Fees or to modify Fees for existing Software at its discretion. Fee changes will take effect in the billing cycle following the notice provided in this Agreement.


2. Continuous Subscription Services; Automatic Billing

2.1 Automatic Renewal: Unless otherwise stipulated in an Ordering Document, your Software subscription is on a subscription basis that automatically renews unless canceled.

2.2 Billing: By purchasing a Software subscription, you expressly authorize Traderstools to charge your payment method for the Fees, applicable taxes, and any other associated charges. These charges will occur at the start of each Subscription Term and will continue until you opt to cancel your subscription.


3. Refunds

3.1 Fourteen (14) Day Money-Back Guarantee: A fourteen (14) day money-back guarantee is extended to new Software subscription purchases from Traderstools. Please note that subscription renewals are not eligible for this guarantee. To request a refund, you must either reach out to Traderstools at https://support.traderstools.com/new/ or access your Traderstools account at https://traderstools.com/account/ and initiate a refund request within fourteen (14) days from the commencement of the Subscription Term. Please allow up to ten (10) business days for the refund process.


4. Cancellation

4.1 Cancellation Process: You have the option to cancel your Traderstools Software subscription at any time. Traderstools will issue renewal notifications thirty (30) days, fourteen (14) days, and five (5) days before your subscription's expiration date. To initiate the cancellation process, you can either notify Traderstools at https://support.traderstools.com/new/, log in to your Traderstools account at https://traderstools.com/account/, or utilize the Software's built-in cancellation feature before the start of the next Subscription Term. The processing of your cancellation request typically takes three (3) to five (5) business days.

4.2 Effect of Cancellation: If you decide to cancel your subscription before the current Subscription Term concludes, please be aware that no prorated refund for the Fees paid during that term will be issued. However, you will retain access to the Software until the end of the current Subscription Term. Failure to cancel your subscription before the renewal date will result in charges, and no refund will be provided.


5. Payment Information; Taxes

5.1 Payment Method: All fees will be billed to the payment method you have on file when you register or purchase a Software subscription. It is your responsibility to ensure that your account information remains accurate and up-to-date.

5.2 Taxes: You are responsible for any applicable taxes associated with your payments, purchases, transactions, or other monetary interactions.


6. Updates to Software Subscription Terms and Conditions

Traderstools reserves the right to amend and update this Agreement as needed. Notice of significant changes will be presented prominently within your Software account or within the Software itself. Your continued use of the Software implies your acceptance of any modified terms.
